Number of shares offered for sale:266,367 ordinary registered shares, which is 100% of the authorised capital of PrJSC “Vinnytsiapobutkhim”.

The main type of economic activity according to the Charter: manufacture of soap and detergents, cleaning and polishing preparations (20.41 NACE class).

Average registered number of employees of the Company: 16 employees (as of 30.04.2025).

Volume of sales of products (works, services) for the period of 2021 – Q1 2025: UAH 1,297,444.96, including exports: UAH 47,614.02.

The main product range: detergents and hygiene and care products, other products and services (waste paper and other packaging that has become unusable), including exports: detergents and hygiene and care products.

As of 31.05.2025, the Company has:

• wage arrears – UAH 9,444.0 thousand;
• debt to the budget – UAH 74,522.0 thousand;
• payables to the Pension Fund of Ukraine for reimbursement of preferential pensions – UAH 2,730.0 thousand;
• overdue accounts payable – UAH 39,704.0 thousand.

Property information (real estate): the object includes 25 units of real estate and infrastructure (production, storage, office buildings and structures, etc.) with a total area of 31,364,2 sq. m.

Information about land plots: 4 registered land plots with a total area of 4.1074 hectares.

Lease agreements: PrJSC “Vinnytsiapobutkhim” has not concluded any lease agreements for the Company’s property.

The Company accounts for a civil protection facility, namely: storage facility No. 00032 located at the following address: 4, Akademika Yanhelia St., Vinnytsia city, Vinnytsia Oblast, Ukraine, the use and maintenance of which must be carried out in accordance with the applicable law.

Volumes of emissions and discharges of pollutants into the environment, generation and disposal of waste, information on payment of environmental fees and charges, etc: since 08.07.2022, the Company has not been operating (it is on downtime), no production is carried out. There were no emissions and discharges of pollutants into the environment and no waste generation.

Mobilization tasks (orders): PrJSC “Vinnytsiapobutkhim” has no mobilization tasks (orders).

Privatization conditions:

• preservation of the main activities of the Сompany;
• repayment of debts on wages and debts to the budget within 6 months;
• repayment of overdue accounts payable of the Сompany existing as of the date of transfer of the ownership right to the acquired stake, except for debts to individuals and legal entities in respect of which special economic and other restrictive measures (sanctions) have been applied in accordance with the Law of Ukraine ‘On Sanctions’, and persons related to them, as well as creditors beneficiary of which are citizens/residents of the Russian Federation and/or the Republic of Belarus;
• preventing, during the fulfilment of the buyer’s obligations, the alienation, transfer for management of the acquired stake, alienation, lease or use/management of the Company’s property/assets to individuals and legal entities subject to special economic and other restrictive measures (sanctions) in accordance with the Law of Ukraine ‘On Sanctions’, and related persons, as well as legal entities whose beneficiaries are citizens/residents of the Russian Federation and/or the Republic of Belarus;
• social guarantees to employees in accordance with the requirements of labor legislation;
• prevention of dismissal of the Сompany’s employees at the initiative of the new owner or its authorized body within 6 months from the date of transfer of ownership of the acquired stake to the new owner;
• compliance with the requirements and additional restrictions of environmental legislation;
• implementation of the existing collective agreement and conclusion of a new collective agreement for the subsequent periods after the expiry of the existing one, as well as employment of the dismissed employees of the company in accordance with the law.

The term for fulfilment of the buyer’s obligations regarding conditions that do not have a specific fulfilment period is five years from the date of transfer of ownership of the acquired stake to the buyer.
