The amount of the authorized capital of the company: UAH 67,235,000.00 (sixty-seven million two hundred and thirty-five thousand hryvnias 00 kopecks).

Offered for sale: state block of shares of PJSC “Kherson plant “Sudmash” in the amount of 67,235 units, which is 100% of the authorized capital of the Company.

The average number of employees as of 01.11.2021: 22 people, including: engineers and other technical workers – 12 people, hourly workers – 10 people.

The main activities of PJSC “Kherson plant “Sudmash”:

– development of a set of design documentation for the production of a medium-series model of a telescopic car lift with a lifting height of up to 40 meters, for the needs of public utilities, fire and rescue units of the SES of Ukraine, and production of a prototype;

– development of a set of design documentation for the production of a medium-series model of a telescopic car lift with a working platform lifting height of up to 18 meters, modular type (manufacture and testing without chassis), for public utilities, fire and rescue units of the SES of Ukraine, and production of prototypes;

– development of a set of design documentation for the production of a medium-series model of a telescopic trailer hoist with a lifting height of up to 15 meters, for the needs of public and private enterprises and an adapted model for the needs of fire and rescue units of SES of Ukraine;

– development of a set of design documentation for the modernization and overhaul of the hydraulic fire truck APGP 30 / 20-300 / 206, and the implementation of modernization and overhaul;

– development of a set of design documentation for overhaul of fire truck lifts of other manufacturers (manufactured in Italy, Germany, China and CIS countries);

– development of a set of design documentation for overhaul and complete modernization of fire ladders (models: AL-30 (L21), AL-30 (PM-506) and its modifications) for the needs of fire and rescue units of the SES of Ukraine, and repair work ;

– development of a set of design documentation and production of hydraulic cylinders and hydraulic shock absorbers for new military equipment samples under the import substitution program.

Related activities of PJSC “Kherson plant “Sudmash”:

• development and introduction of new technological processes and production of samples of ship devices, bollards, ship water-gas-tight doors;
• development of a set of design documentation and manufacture of hydraulic products (power and control hydraulic cylinders, centering columns) for installation without impact pushing of foundation piles;
• development of a set of design documentation for the repair of hydraulic cylinders, machines and units of the agricultural sector, and repair work.

Maintaining the general range of production, the plant in recent years, has developed sets of design documentation and mastered the production of new products – prototypes of car lifts PT-40P, PT-18, PPT-15.

These products are extremely necessary for domestic customers, as every year in Ukraine a large number of multi-storey buildings of various purposes are put into operation, so the need for fire and rescue units of the SES of Ukraine in car lifts with a maximum lifting height of up to 40 m is becomes bigger.

Taking into account the above needs, the plant has carried out a set of measures to modernize the prototypes and prepare for their introduction into serial production.

Having started designing and starting production of a telescopic fire truck lift based on an MAZ car with a lifting height of 40 m for the needs of Kherson, the company has already received preliminary orders for similar equipment from other cities.

The company has designed and manufactured three prototypes of a car lift with a boom lift height of up to 18 meters, modular type, and installed two of them on the chassis.

The company has designed and manufactured a prototype of telescopic trailer hoist with a lifting height of the working platform up to 15 meters.

In addition, the plant is constantly working on the development of new metalworking technologies, reducing energy consumption, participates in government import substitution programs, develops new relevant products and improves manufactured products.

Information about the buildings: the Company consists of 11 real estate objects (ship equipment section, ship armature section, fastening section, EMO building, warehouse, pumping station, fuel station, warehouse, cutting section, checkpoint, garage) with a total area of ​​32876, 6 sq. m.

As of 01.11.2021, lease agreements for real estate of PJSC “Sudmash” were not concluded.

Information about the land plot: the state act on the right of permanent land use, the right of permanent use of a land plot with a total area of ​​6,5201 hectares. This land plot is provided for permanent use to accommodate the production base.

PJSC “Sudmash” has no harmful production, emissions and discharges of pollutants into the environment, the formation and disposal of waste. The company is a payer of environmental fees and charges.

Privatization conditions:

• preservation of the main activities of the Company for 1 year;
• repayment within six months of wage arrears, to the budget, overdue accounts payable, if any, on the date of transfer of ownership of the block of shares to the buyer;
• prevention of dismissal of employees of the Company at the initiative of the buyer or an authorized body (except for the employee’s actions for which dismissal is provided for on the basis of paragraphs 3, 4, 7 and 8 of part one of Article 40 and Article 41 of the Labor Code of Ukraine) within 6 months;
• financing of labor protection in the Company in accordance with the requirements of Article 19 of the Law of Ukraine “On Labor Protection“ for 1 year;
• proper storage in the technical archive of scientific and technical documentation of the Company related to the National Archival Fund of Ukraine in accordance with the requirements of the Law of Ukraine “On the National Archival Fund and Archival Institutions” and the Rules for organizing office work and archival storage of documents in state bodies, local authorities self-government, at enterprises, institutions and organizations approved by order of the Ministry of Justice of Ukraine dated June 18, 2015 No. 1000/5, and take measures to transfer it for permanent storage to the Central State Scientific and Technical Archive of Ukraine (according to the lists) during 3 months;
• preservation of long-term storage documents in the archives of the Company within deadlines, in particular, documents of the Company’s labor archive, and take measures to transfer them for storage to a specialized archival institution in accordance with the requirements of the Law and the Rules within 3 months.
